Affiliate terms

1. Joining the program

These terms govern participation in the Atrivial affiliate program with Atrivial, LLC. You must apply, receive approval, and accept these terms before participating. Our Terms of Service also apply to your use of Atrivial. If we agree to different commission terms with you in writing, those terms govern the specific matters they cover.

Give us accurate identity, contact, and payment information. You must be legally able to enter this agreement and comply with Stripe's payout onboarding requirements. An affiliate is an independent participant and cannot bind Atrivial to an agreement.

2. Referral attribution

Use the referral link or promotion code assigned to you. A referral link has a 60-day attribution window. A valid assigned promotion code can also identify a referral at checkout. Browser settings, deleted cookies, different devices, or an unrecognized link or code can prevent attribution. A click or signup alone does not earn a commission.

A customer must be an eligible new referral recorded by Atrivial. A customer cannot be attributed to more than one affiliate. Self-referrals, duplicate referrals, and subscriptions that Atrivial does not bill through Stripe are not commissionable. Contact us if you believe a referral was recorded incorrectly.

3. Commissions

Unless your assigned written terms say otherwise, you earn 20% of eligible customer payments within the referral's first 12-month earning window. The earning window starts when Atrivial activates the referral and is recorded in your Portal. It does not restart when the customer changes plans or resumes a subscription.

Commission is calculated on the amount paid after discounts, excluding tax. Unpaid invoices, free trials, and amounts outside the earning window do not earn a commission. Your Portal shows the applicable rate, earning window, and recorded commissions. Earnings estimates are examples, not a promise of income.

4. Holdback and payouts

Earned commissions have a 60-day holdback from the customer payment to allow for refunds and disputes. Eligible balances of at least $50 are paid through Stripe in monthly payout runs. Balances below the threshold carry forward. You must complete Stripe onboarding and keep your payout details current before we can pay you. Stripe processing and bank settlement can add time after a payout run.

Refunds, chargebacks, and disputes reduce the related commission, including after a payout. Partial refunds reduce it proportionally. Adjustments may be deducted from unpaid or future commissions. We may hold a disputed amount while we investigate, and will correct the ledger if the adjustment was wrong. You are responsible for taxes on your affiliate earnings and any information needed for required tax reporting.

5. Disclose your financial relationship

Clearly disclose that you may earn a commission whenever you recommend Atrivial using an affiliate link or code. Put the disclosure where people will see it with the recommendation and before they act. Do not rely only on a profile, a separate terms page, or a disclosure hidden behind a link.

For example, say "I earn a commission if you subscribe through this link." In a video or audio recommendation, disclose the relationship in the recommendation itself. Follow the advertising and endorsement rules that apply to your audience, including any platform requirements.

6. Truthful promotion and permitted use

Describe Atrivial accurately and keep price, trial, feature, and discount claims current. Do not promise results, earnings, or benefits that Atrivial does not offer. Only describe your own experience as your own. You must have permission to contact your audience and comply with applicable marketing, privacy, and anti-spam rules.

• Do not create fake accounts, fake referrals, or fraudulent purchases.
• Do not manipulate attribution, place tracking without a genuine referral, or hijack another affiliate's referrals.
• Do not impersonate Atrivial or imply that you are its employee or official representative.
• Do not use misleading links, deceptive offers, unsolicited messages, or unlawful promotion.

You may use Atrivial's supplied affiliate assets and branding to promote the service while your participation is active. Follow the supplied brand instructions, preserve required notices, and do not suggest an endorsement beyond this affiliate relationship. This permission does not transfer ownership of Atrivial's branding.

7. Reviewing activity and questions

We may review referral and payment records to prevent abuse and resolve attribution or commission errors. Provide reasonable information when we ask about a disputed referral or promotion. If you question a balance or payout, contact us with the relevant Portal record so we can investigate. A pending balance is subject to eligibility checks and refund or dispute adjustments.

8. Ending participation

You can leave the program by contacting us. We may suspend or end participation for a breach, fraud, a legal requirement, or a decision to close the program. We will give notice when reasonably possible and explain the reason when we can. Stop using affiliate links, codes, and brand assets after your participation ends.

Customer payments made after termination do not earn new commissions. Eligible commissions earned before termination remain subject to the holdback, payout threshold, and any valid adjustments. We will settle those commissions under these terms. Contact us about a remaining balance, including one below the payout threshold.

9. Changes to the program

We may change the program or these terms prospectively. We will publish an effective date and notify you of material changes. A new commission rate or earning window applies to new referrals unless we agree otherwise in writing. It does not retroactively remove commissions already earned. If renewed acceptance is required, we will ask for it. You can leave the program if you do not agree.

10. Legal rights

The program does not guarantee a number of referrals or income. Each party is responsible for its conduct under applicable law. Nothing in these terms removes rights or limits responsibility where doing so would be unlawful.
